Charles Manuel is Of Counsel and Head of Litigation for Shiboleth LLP in New York. Mr. Manuel has been a corporate, banking, securities and commercial counselor and trial lawyer headquartered in New York since 1975. He has counseled large and small corporations, commercial and investment banks, securities firms and individual clients in the United States, Latin America, Europe and Asia.

Mr. Manuel graduated from Harvard College with honors in 1971 and from Harvard Law School in 1975. He began his legal career at Shearman & Sterling and subsequently was a senior partner at Morgan, Lewis & Bockius for seven years before establishing his own practice in 1994.

Mr. Manuel has practiced before the United States Supreme Court, the Securities and Exchange Commission, the United States Court of International Trade, various United States Courts of Appeals and District Courts, state courts and a number of regulatory, administrative and arbitration tribunals. He frequently has been lead counsel in complex cases and transactions, backed by co-counsel and local counsel. His name appears on over 55 reported court and agency decisions throughout the country.

Charles Manuel has counseled and represented numerous clients in complex banking transactions and disputes. His clients have included several of the world’s largest banks, smaller institutions, and corporate and individual clients involved in transactions with banks. He has successfully negotiated banking transactions, workouts and settlements; and, when necessary, he has litigated bank cases successfully in a number of courts, including the United States Supreme Court. Mr. Manuel has represented corporations and investment banking firms large and small, as well as individual clients, in numerous cases in which violations of federal and state securities laws were central issues. These cases have included corporate control disputes such as hostile takeover bids and proxy contests; investor claims in litigation and arbitration against issuers, broker-dealers and investment advisors; investigations, civil lawsuits and regulatory proceedings by the Securities and Exchange Commission and state securities agencies; and disciplinary proceedings against industry members before the same agencies as well as before the enforcement and regulatory arms of the New York Stock Exchange, the National Association of Securities Dealers and regional exchanges. Mr. Manuel has also argued major cases before the full Securities and Exchange Commission.

Recent matters for which Mr. Manuel has been responsible at Shiboleth include the lead counsel position in a $600 million lawsuit involving a major brokerage firm arising from the failure of Bear Stearns & Co.; representation of the largest private claimants in the Bear Stearns securities litigation; multi-million dollar auction-rate securities and commercial mortgage-backed securities cases; a widely publicized case of fraud and embezzlement from a closely held company; litigation on behalf of a Swiss company in Delaware and California seeking to recover losses and prevent the dissolution of a medium-sized company with operations on four continents; representation of a high-tech Israeli-Swiss company in a $60 million product liability case; and several cases arising from the breakups of family-owned or closely held corporations.

In addition to Shiboleth’s first-class, five-person litigation team in New York, Mr. Manuel regularly draws on local attorneys around the country for assistance in large client matters.
