Shiboleth represents clients based in the United States in international business activities and international clients in legal matters in the United States. Our international practice takes full advantage of our international offices, our contacts, our experience and our expertise in various areas of the law.
Litigation. We are able to represent clients in litigations between domestic and foreign parties and offer expertise in issues relating to jurisdictional and forum non convenience legal standings. We also offer representation in court proceedings pending simultaneously in domestic and foreign forums; supervision of multi-national litigation; and coordination of efforts by local counsels and representation before international arbitration tribunals.
Business Structuring. We represent clients with respect to structuring multinational operations. For each structure, the following factors are considered: (i) the type of legal entity to use within each jurisdiction; (ii) taxation, both on the local and international level, including the benefits of tax treaties, if any; (iii) requirements of local law relating to business registration and licensing, labor issues, and government authorizations and approvals with respect to particular industries; (iv) cost; (v) government and private tax and business incentives; and (vi) support for the operational needs of the business including banking services, management services, government stability, availability of local labor force; modern infrastructure; and business friendly environment.
Corporate and Commercial Representation. We represent multi-national entities in cross border transactions and operations. Legal counsel is provided with respect to merger and acquisitions, including purchase and sale of assets, companies and business interests; financing issues, including raising funds from banking institutions as well as private and public sources; provision of general counsel function; legal relations and agreements between owners; joint ventures; employment and personnel issues; R & D activities; intellectual property issues; and licensing, marketing and manufacturing activities.
Taxation. We represent U.S. persons residing or conducting business outside of the United States as well as non-U.S. persons residing or conducting business within the U.S.. We assist with structuring United States and foreign based multi-national operations; representation of non-U.S. persons before United States tax authorities; and coordination of defense with local counsel of persons before non-U.S. tax authorities. |
