Domestic and Multinational Business Operations. We offer significant expertise in the establishment and structuring of domestic and multinational business operations with an emphasis on functionality, efficiency and tax advantageous treatment. Such services include establishing of holding companies and subsidiaries, domestic and international trusts and off-shore activities.

Agreements Between Business Entity Owners.  For our clients, we prepare all forms of agreements between business entity owners including shareholder agreements, LLC operating agreements and partnership agreements.

General Counsel.  We provide a full array of legal services required by a functioning business, including those arising on a day to day basis as well as those arising from unique circumstances and business situations.

Mergers and Acquisitions.  We evaluate and advise our clients on the business, legal and tax considerations in structuring mergers and acquisitions, including negotiating letters of intent, assistance with due diligence and drafting of merger and acquisition documents.

Joint Venture Agreements.  We negotiate and implement joint venture agreements, including domestic and foreign ventures with full analysis of business, legal and tax considerations.

Corporate Finance.  We represent both providers and recipients of financing, including the negotiation and documentation of loans, seed, angel and early stage investment rounds, venture capital and private placements.

Purchase and Sale of Businesses and Business Interests.  We represent both buyers and sellers, including assisting in negotiating business terms and structure, tax analysis, preparation of agreements and securing and collateralizing of payment.

Securities Offerings and Compliance.  Our attorneys prepare prospectuses and registration statements on Forms S-1, S-3 and S-8 for initial public offerings, shelf offerings, and follow-on offerings, as well as proxy statements for domestic and foreign issuers. We also prepare Forms 10-K, 10-Q, and 20-F, etc., and assist clients with stock exchange compliance, private offerings under Regulation D and Regulation S, PIPEs, SPACs, and filings on Forms 3, 4, 5, 13-D and 13-G. We counsel boards of directors and board committees on compliance with the Sarbanes-Oxley Act of 2002 and other securities laws, and assist individuals with resales under Rules 144, 701 and Section 16.

Employment Issues.  Our clientele includes employers, employees and consultants for whom we negotiate and draft employment and consulting agreements; advise on employee rights; negotiate and prepare confidentiality, proprietary and non-compete agreements; and provide advice with respect to and preparation of documents implementing deferred and incentive compensation planning, including stock options.

Governmental and Private Licensing .  We represent clients requiring governmental permits and licenses in a variety of fields. We represent both licensors and licensees of intellectual property and business operation for whom we draft and negotiate licensing agreements, advise on licensing structures and alternatives and defend licensing rights.

Manufacturer/Marketing Relationships.  Our clientele includes manufacturers, agents and distributors for whom we offer expertise in structuring marketing relations and marketing entities; negotiation and drafting of manufacturing agreements; negotiation and drafting of sales agency and distribution agreements and advising with respect to, drafting and negotiating financing agreements to facilitate manufacture and marketing, including fair trade rules, transfer pricing and anti-trust regulation.
